Delivery Agency Agreement

Last updated and effective: October 24, 2026. Company: RESOGRA LLC, Wyoming, USA.

1. Who this covers

This agreement applies to any business that uses Resoizi to run a delivery fleet: you own or rent the motorbikes, you engage the riders, you pay for the fuel and you pay your riders. We call that business a delivery agency, or just an agency.

This agreement sits on top of our Terms of Service. On anything to do with agencies, this agreement wins.

2. What you are, and what you are not

You are an independent business. This agreement does not create employment, a partnership, or an agency relationship between you and RESOGRA LLC.

Your riders are your riders. They are not our employees or our subcontractors, and we do not direct their work. You hire them, train them, set their hours, decide their pay and pay them.

We are not your carrier and we are not your insurer. Resoizi is a tool you use to run your business and, if you want it, to receive jobs from our marketplace.

3. Opening an agency account

Opening an agency account is free and immediate. All it takes is a user account and your business name. We check nothing at this stage, and having an account does not mean we have verified, approved or recommended you.

By opening the account you confirm that:

  • the business is real and you have authority to bind it;
  • you are allowed to run a delivery business where you operate;
  • every one of your riders is at least 18 years old and allowed to work in their country;
  • your vehicles are legal and insured as the law where you operate requires.

4. Verification

You can use the whole dashboard straight away. Being verified means we have checked your agency; having an account alone does not.

Verification is a human decision. We look at your documents, your reputation and our own knowledge of your business. We can grant it, refuse it or withdraw it at any time. We record who decided and when.

If you change the mobile money number registered for your agency, verification is cancelled automatically and has to be done again. This is a fraud protection: it stops a hijacked account from making your customers pay into somebody else's account.

A suspended agency can still sign in and look, but cannot take or assign jobs, even if it was verified before.

5. How the money moves

Resoizi is free for your agency: no commission, no fee, no subscription, with no end date. If Resoizi ever introduces a fee (for example a paid listing or a promotion), we will announce it at least 30 days in advance, and it will only apply to you if you accept it.

The customer pays your agency directly, using the method you agreed (for example mobile money or cash). No money passes through Resoizi: RESOGRA LLC does not collect, hold, escrow, refund or transmit any payment, and pays nothing to your agency or your riders. The delivery contract is made between your agency and the customer.

The record for each job names the rider who did it, so you can see who did what.

You agree to show accurate payment details on your agency's profile, in the agency's name, to ask customers to pay only using those details, to state the full price before the customer pays, and to handle your customers' refunds and claims yourself.

6. Paying your riders is your job

What you pay your rider is an arrangement between you and them, and we are not part of it.

We do not set pay, we do not guarantee it, and we are not responsible if you fail to pay your rider.

That said, we reserve the right to suspend an agency whose riders credibly and repeatedly report not being paid. This is not a promise to collect money for them: it is our right to stop working with you.

7. You answer for your riders

You are responsible for what your riders do while working for you, including on a job that came from Resoizi. If a parcel is lost, stolen, damaged or handed to the wrong person, or a customer suffers harm, that is yours and not ours.

You will indemnify RESOGRA LLC against any claim, loss, fine or expense, including reasonable costs of defence, arising from: your riders' work, their pay or their employment status, your vehicles, the payments you receive from customers, or anything you put in the vault, except to the extent the harm is caused by our own fault.

You must hold the insurance the law requires where you operate, in particular vehicle insurance. We strongly recommend insurance covering the goods you carry. We do not sell any.

8. The document vault

The vault is where you keep your paperwork: your riders' ID and licences, your bikes' registration and insurance, your company documents, contracts.

For those documents, you are the one in charge. You decide to collect them, you must have the right to hold them, and you must tell the person concerned clearly. We only store them for you, on your instructions. We do not use them for our own purposes and we do not sell them to anyone.

What we do: files are encrypted before they are written to our servers, and every time a file is opened we record who opened it and when.

Who sees what: the agency owner and managers can open the vault. Dispatchers and finance staff cannot. A rider can see the files that are about them, wherever you filed them, and nothing else.

Only upload what you genuinely need. Do not put health records, criminal records or other sensitive personal data in the vault unless the law where you operate requires you to hold it and you can show that it does.

How long: if your agency closes its account you can download your files for 30 days, then we delete them. When a rider leaves your agency, their personal documents are deleted within 90 days, unless you are legally required to keep them longer, in which case tell us.

9. Your riders' location

While a rider is working, their phone sends their position and your agency sees it on a map. We keep the last known point and the time, plus the start, end and distance of each delivery. We do not keep a continuous trail of everywhere a rider has been.

Before a rider starts, you must tell them that their position is visible to the office, during working hours, and what it is for: assigning jobs, finding a parcel, and their own safety.

You may not use location to monitor a rider outside their work, or to discipline them about anything other than the delivery.

10. Your staff

You can add staff by email and give each of them a role:

  • owner: everything;
  • manager: riders, jobs, tracking, tickets, vault;
  • dispatcher: jobs and tracking only;
  • finance: money only.

A dispatcher sees a rider's name and their live position. That is needed to assign jobs, and it is also a reason to give the role only to people you trust.

You are responsible for what your staff do on your account. Remove their access the day they leave.

11. Messages

The platform has a general room for the whole agency and private lines between a rider and the office. Messages are stored. An agency manager can read the rooms attached to tickets and complaints.

Tell your riders that these messages are not private from the office. We keep messages for 24 months and then delete them, apart from messages attached to an open claim.

12. Cash

When a rider collects cash from a customer, that money is yours from the moment it is handed over, and the risk is yours. If a rider disappears with the takings, the loss is the agency's. The platform records what has been collected and not yet handed to the office: that is a tracking tool, not a guarantee of payment.

13. Suspension

We can suspend your agency immediately and without notice if we have reasonable grounds to believe there is fraud, forged documents, prohibited goods, danger to a customer or a rider, or a serious breach of this agreement.

While suspended: your agency is no longer offered to customers, your marketplace jobs stop, and you keep read access to your data.

You can leave whenever you want, once your active jobs are finished.

If we pause one of your riders. We may pause new work for one of your riders while we check that no two people are using one identity. Your agency is not suspended, your other riders are unaffected, and the rider finishes any delivery already in their hands. We tell you on the day it starts so you can reassign their work. We do not tell you what we are checking, because that is about a person and not about your business, and section 6 of our Terms of Service sets out what the rider is owed.

14. What we keep

A completed delivery record is kept even if the rider leaves the agency, even if a record is deleted, and even if the account closes. We need it for accounting, to answer a customer complaint, and to prove a job actually happened.

When someone deletes a record, we keep it marked as deleted, with who deleted it and why. That is not an oversight: it protects the rider as much as the agency. The detail is in our Privacy Policy.

15. Governing law and contact

This agreement is governed by the law of the State of Wyoming, USA, without limiting any mandatory rules that apply where you operate. Any dispute under this agreement is settled the same way as under section 9 of our Terms of Service: first through our claims process, then by AAA arbitration in Wyoming, and neither of us joins a group or class case. If a court decides the group case waiver cannot be applied to a particular claim, that claim goes to court and the rest of this section still applies to everything else.

If part of this does not hold. If a court or an arbitrator decides that any part of this agreement cannot be applied, only that part stops applying. Everything else stays in force.

Things nobody controls. Neither of us is in breach for a delay or a failure caused by something genuinely outside our control: war or civil unrest, a natural disaster, a government or customs decision, a border closure, a general strike, or the failure of a payment, mobile network or internet provider. Whoever is affected tells the other as soon as they reasonably can, and does what they reasonably can to limit the damage.

If we suspend you we will tell you in writing what we relied on and why. You can reply, and a different person from the one who decided will look at it again. We will answer within 10 business days.

16. Languages

This document is published in English, French and Spanish on resoizi.com, and all three versions say the same thing. If you find a difference or an omission between them, write to us at [email protected] and we will correct it. For interpretation, the English version is the reference version, except where the law of your country provides otherwise, in which case the version in your own language applies to you. This clause does not remove any right the law of your country gives you.
